Terms of Use & Subscriber Agreement

These Terms of Use & Subscriber Agreement (the “Terms”) govern your access to and use of the BareNaked Portfolios LLC website, content, rankings, commentary, portfolio information, subscription features, and related services (collectively, the “Platform”). By creating an account, purchasing a subscription, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About BareNaked Portfolios LLC

BareNaked Portfolios LLC (“BareNaked Portfolios,” “we,” “us,” or “our”) is a financial publishing and subscription platform that provides market commentary, educational information, proprietary momentum rankings, and transparency into one or more real-money portfolios maintained by the publisher. BareNaked Portfolios is not a registered investment adviser, broker-dealer, bank, custodian, or tax adviser, and does not provide individualized investment advice, portfolio management, financial planning, or legal or tax advice.

2. Key terms

• Platform — the BareNaked Portfolios website, subscriber portal, reports, rankings, data displays, charts, emails, and related services.
• Subscriber — a person who creates an account or purchases access.
• The Portfolios — the one or more real-money portfolios (each, a “Portfolio”) maintained by the publisher and displayed for transparency and educational purposes.
• Leaders / BNP Score — the ranking page and proprietary technical momentum score used to rank securities.
• Content — all text, charts, rankings, calculations, commentary, graphics, data, and methodology available through the Platform.
• AI content — Content created, generated, or assisted using artificial intelligence or machine-learning technologies.

3. Eligibility

You must be at least 18 and able to enter a binding agreement to use the Platform. You represent that the information you provide is accurate. The Platform is intended primarily for users in the United States; if you access it from elsewhere, you are responsible for compliance with local law.

4. Accounts and security

You are responsible for keeping your login credentials confidential and for all activity under your account. You may not share credentials, let another person use your account, or use another Subscriber’s account. We may suspend or terminate accounts that appear to be shared, resold, scraped, or misused. Notify us promptly if you believe your account has been compromised.

5. Electronic communications

By creating an account or subscribing, you consent to receive electronic communications from BareNaked Portfolios, including account notices, billing notices, platform updates, portfolio activity notifications, reports, and other service-related messages. You may unsubscribe from report and notification emails at any time using the link in those emails or in your notification settings, and from any marketing emails as required by law; transactional and account-related notices may still be sent while your account is active.

6. Subscription, billing, and cancellation

BareNaked Portfolios is a paid subscription service. Billing is handled by our third-party payment processor. Before you subscribe, the checkout page discloses the subscription price, billing frequency, automatic-renewal terms, cancellation method, and applicable refund terms. By subscribing, you expressly authorize BareNaked Portfolios and its payment processor to charge your payment method on a recurring basis according to the plan selected at checkout until you cancel. Unless canceled before renewal, subscriptions renew automatically at the then-current rate. You may cancel anytime in your account settings; cancellation stops future billing but is not automatically a refund. 7. No personalized advice

The Platform provides general, impersonal financial commentary and transparency into the publisher’s process. The Content is not tailored to your financial situation, objectives, risk tolerance, time horizon, tax circumstances, or liquidity needs. Nothing on the Platform is a recommendation that you buy, sell, hold, or avoid any security. You are responsible for your own investment decisions and should consult your own financial, legal, and tax advisers. Your use of the Platform does not create an investment adviser-client, fiduciary, brokerage, financial-planning, legal, tax, or other professional relationship between you and BareNaked Portfolios.

8. The Portfolios, Leaders, and BNP Score

The Portfolios reflect actual investments made by the publisher and are shown for transparency and educational purposes only. They are not model portfolios, personalized recommendations, or instructions to duplicate trades. Holdings, allocations, cash levels, rankings, scores, and risk levels may change before they are displayed on the Platform or before Subscribers receive any related notice, and trades may be displayed after they are executed. Prices shown may differ from prices available in your own brokerage account due to timing, data sources, market conditions, order type, spreads, or other factors. BareNaked Portfolios and its owners may hold, purchase, or sell securities discussed on the Platform, including before or after Content concerning those securities is published; see the Investment & Risk Disclosures.

Leaders and the BNP Score are proprietary technical and momentum tools that rank securities from imported end-of-day technical data and other approved inputs available at the time of calculation. Rankings are research tools only and are not recommendations to buy, sell, or hold any security. A high score does not mean a security is suitable for you, that we own it, or that it will appreciate. We may revise the methodology, inputs, and display rules over time, so past scores may not be comparable to later ones.

We may use artificial intelligence and machine-learning technologies to help create or present parts of the Platform and its Content. Such Content may be inaccurate or incomplete, is not investment advice, and should be independently verified before you rely on it. See the Investment & Risk Disclosures.

9. Data sources and pricing

The Platform relies on third-party providers for brokerage connectivity, market data, payment processing, hosting, email, bot protection, and authentication. Intraday values may use brokerage-sourced information, while end-of-day snapshots, charts, and rankings may use third-party closing prices. These sources may not always match one another, your broker, or the price at which you can trade. Vendor availability, accuracy, and latency are outside our control.

10. Intellectual property

The Platform and Content are owned by BareNaked Portfolios or its licensors and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access the Platform for your own personal, non-commercial use. You may not copy, republish, distribute, sell, license, scrape, bulk-download, create derivative works from, or otherwise exploit the Content without our prior written permission.

11. Acceptable use

• Do not share, sell, transfer, or sublicense your account credentials.
• Do not scrape, crawl, harvest, bulk-export, or automate access to Content without written permission.
• Do not redistribute reports, scores, rankings, holdings, or other subscriber-only Content.
• Do not reverse-engineer or attempt to replicate BareNaked Portfolios methodologies or proprietary displays.
• Do not use the Platform in any way that violates law, infringes rights, or compromises security.

12. Subscriber content

If BareNaked Portfolios offers discussion, comment, or community features and you post content, you are responsible for it and represent that you have the right to post it. We may moderate, edit, remove, or decline to display any submission. Subscriber submissions do not represent our views unless expressly stated, and we are not responsible for decisions made based on them.

13. Disclaimers

The Platform is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, error-free, secure, or accurate, and we do not guarantee the accuracy, completeness, or timeliness of market data, rankings, portfolio data, or reports. Investing involves risk, including possible loss of principal, and momentum and concentrated growth strategies can experience substantial volatility and drawdowns. 14. Limitation of liability

To the maximum extent permitted by law, BareNaked Portfolios, its owners, employees, contractors, affiliates, vendors, and licensors will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, trading or investment losses, or lost data, arising from your use of the Platform. Our total liability for all claims will not exceed the greater of (a) the amount you paid us in the three months before the event giving rise to the claim, or (b) $100. Some jurisdictions do not allow certain limitations, so some may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless BareNaked Portfolios and its owners, employees, contractors, affiliates, vendors, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, violation of these Terms, misuse of Content, your investment decisions, or violation of law or third-party rights.

16. Suspension and termination

We may suspend or terminate your access at any time if we believe you have violated these Terms, shared or scraped Content, failed to pay, or created legal, security, or reputational risk. On termination, your right to access the Platform ends. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will provide reasonable notice before or when the change takes effect, such as through the Platform or by email. Where applicable law requires affirmative consent to a change, we will obtain that consent. Your continued use of the Platform after other changes take effect constitutes acceptance of the revised Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. You and BareNaked Portfolios agree to resolve disputes in the state or federal courts located in Orange County, California, and each party consents to their personal jurisdiction and venue, except where applicable law provides otherwise.
